The agreement between you and BhoomiScan.

One master agreement covering how the Service works, what you may do with it, fees and refunds, the limits of AI, and how we handle data on your behalf when you upload documents.

Effective: 3 May 2026Last updated: 3 May 2026
Section 1

Acceptance and the agreement you are entering into

These Terms of Service form a legally binding agreement between you and BhoomiScan, a sole proprietorship registered as a Micro, Small or Medium Enterprise under the Government of India Udyam Registration regime, with its principal place of business in Bhubaneswar, Odisha. By creating an account on bhoomiscan.in, by accessing the dashboard, or by generating any Report through the Service, you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety.

Please pay particular attention to Section 5 (Nature of the Service and AI limitations), Section 9 (Refunds), Section 11 (Acceptable use), Section 13 (Professional responsibility of the advocate), and Section 17 (Limitation of liability). They define how risk is allocated between us and are central to the bargain represented by these Terms. If you do not agree, please do not use the Service.

By accepting these Terms you also accept the Privacy Policy, which is incorporated by reference and which governs how we collect, use, store, and share personal data.

Eligibility, account, and one-account rule

Eligibility

You represent and warrant that you are at least eighteen (18) years of age and competent to contract under the Indian Contract Act, 1872; that you are not debarred from accessing the Service under any applicable law; and that, where you register as an Advocate User, you hold a valid enrolment with a State Bar Council and are in good standing as on the date of registration.

Your account

You will provide accurate, current, and complete information at registration and keep it updated. You are responsible for the confidentiality of your credentials and are liable for all activity under your account, whether or not authorised by you.

One account per User

You may not register or operate more than one account at the same time without our prior written consent.

Suspension on misrepresentation

We may, at our sole discretion, suspend or terminate any account where we reasonably believe the registration information is false, inaccurate, or incomplete, or where you have misrepresented your eligibility.

Section 4

Geographic scope and what the Service does

Odisha-specialised

BhoomiScan is designed and trained for property documents originating in the State of Odisha, India. Our analytical models are tuned to Odisha-specific document formats — Encumbrance Certificate (Form 25), Form 15, Record of Rights, Khatiyan, and Sale Deed Certified Copies issued by Odisha Sub-Registrar Offices — and to Odisha-specific concepts including the Sabak (old) to Hal (current) khata correspondence and the Kissam classification system.

Use outside Odisha
Use of the Service in respect of documents originating outside Odisha is not supported, may produce inaccurate or unreliable results, and is undertaken entirely at your own risk. We disclaim all responsibility for output generated on non-Odisha documents.

What the Service is

The Service is a software-as-a-service tool that performs structured analysis on User Documents and produces Reports intended to assist you. It is software. It is not a law firm. It does not provide legal services. It does not establish an advocate-client relationship with you or with any third party.

Service tiers

  • Title Verification — Full Title Scan. Paid. The Service performs cross-document analysis across the Record of Rights, the EC (Form 25), and Sale Deed Certified Copies, and returns a Report comprising a Chain Map, a Flags panel (Critical, Serious, Data Gap), a Source-Linked View with confidence scoring, the Remaining Work for the Lawyer, and a downloadable file. Available on a per-Report basis or as a ten-credit Practice Pack.
  • Banking & Enterprise. Title Verification for banks, non-banking financial companies, and high-volume practices on a custom, negotiated basis — per-report pricing, volume commitments, billing terms, onboarding, and service levels agreed in writing. Pricing on request via contactbhoomiscan@gmail.com.

The 5 verification checks

Subject to the limitations in Section 5, a Title Verification performs five cross-document checks: Plot & Khata Identity (including Sabak-to-Hal khata correspondence), Owner on Record, Chain of Title, Encumbrance Status, and Registered Transactions.

Document sourcing

The Record of Rights component of a Title Verification analysis is auto-fetched on your instruction from the public Bhulekh Odisha portal at no additional cost. The EC and Sale Deed Certified Copies must be uploaded by you. We do not, as on the effective date, fetch documents from the IGR Odisha portal; any future change will be notified in advance.

Service availability

We use commercially reasonable efforts to keep the Service available but do not warrant uninterrupted, error-free, or continuous access.

Section 5

Nature of the Service and AI limitations

Read this carefully
This section is the Disclaimer and AI Limitations Notice for BhoomiScan. We have written it candidly because an Advocate User can manage risk only when the User understands precisely what the Service is and what it is not.

What the Service is not

  • Not a law firm. BhoomiScan is not a law firm and does not practise law.
  • Not legal advice. No part of the Service — including the Report, Chain Map, Flags, Remaining Work for the Lawyer, Source-Linked View, or any communication from us — constitutes legal advice. No advocate-client relationship is created with you or with any third party by your use of the Service.
  • Not a title certificate. A Report is not a certificate of title, not a marketable-title opinion, and not an assurance that any property is free from defect.
  • Not a substitute for the advocate. The Service does not displace the independent professional judgment, examination, and advice of an enrolled advocate.
  • Not a bank-approval document. A Report is not, in itself, a document approved by, certified to, or accepted by any bank, financial institution, or registering authority for any loan disbursement, mortgage creation, or registration formality.
  • Not a substitute for public records. Authoritative legal evidence remains with the Sub-Registrar Office, the Bhulekh portal, the IGR Odisha portal, the Tahasildar, the Revenue Inspector, and other authorities.

Probabilistic by design

The Service uses large language models, optical character recognition, and other artificial intelligence components. These technologies are inherently probabilistic. Even the most carefully engineered AI systems will, on a non-zero proportion of inputs, produce outputs that are inaccurate, incomplete, or factually wrong despite appearing fluent and confident. This is a property of the technology, not a defect of the Service.

Hallucination

Large language models can occasionally generate output that is plausible-sounding but factually incorrect — commonly called a hallucination. We use prompt engineering, retrieval grounding, confidence scoring, and routing of low-confidence fields to the Remaining Work for the Lawyer to reduce the incidence and impact of hallucinations. We cannot eliminate them, and we do not warrant that we have done so.

Errors may occur in critical fields

You specifically acknowledge that errors may occur even in respect of fields you consider critical, including:

  • plot numbers and survey numbers
  • khata numbers, including the correspondence between Sabak (old) and Hal (current) khata
  • names of owners, sellers, buyers, and witnesses
  • areas, in any unit (acres, decimals, square feet, and so on)
  • consideration amounts, stamp duty values, and registration fees
  • dates of transactions, registrations, and mutations
  • the sequence of transactions on a property
  • the existence, status, and discharge of mortgages, liens, leases, and other encumbrances

Confidence scoring is an estimate

The Service applies confidence scoring to extracted fields. Fields with low confidence are routed to the Remaining Work for the Lawyer or surfaced for review. Confidence scoring is itself an estimated probability assigned by an automated system; it is not a guarantee of accuracy. A high confidence score does not mean the field is correct, and a low confidence score does not mean the field is wrong.

Source documents may themselves be imperfect

Extraction quality depends in part on the legibility, completeness, and authenticity of the User Documents you supply. Poor scans, partial documents, mis-bound copies, and handwriting or stamping that obscures printed text all degrade quality in ways that are not always apparent in the Report.

What the Service does not do

The Service performs a defined set of checks across a defined set of documents. By way of example and not limitation, it does not:

  • verify litigation status in any court of law
  • verify the existence or validity of any mutation entered before 2013
  • verify the authenticity of root title beyond the documents uploaded
  • perform Bhu Naksha or survey-map analysis beyond the analytical checks identified
  • verify family settlements, partition deeds, oral arrangements, or inheritance claims that are not reflected in the documents uploaded
  • verify physical possession of the property
  • verify Kissam-related restrictions or conversion compliance under the Odisha Land Reforms Act
  • check sanctions, anti-money-laundering, beneficial-ownership, or politically-exposed-person status of any party
  • examine any document, fact, or matter that you have not provided

The Remaining Work for the Lawyer

Each Title Verification Report includes a Remaining Work for the Lawyer. It is a non-exhaustive informational suggestion based on our best understanding as on the date of generation, identifying categories of inquiry the Service typically does not perform. It is offered in good faith. It is not legal advice. It is not exhaustive. It is not a complete or binding map of the Advocate User's professional duties. The Advocate User alone determines, in the exercise of independent professional judgment, the scope, depth, and method of inquiries necessary in any given matter, and shall not be relieved from any professional duty by reason of any item being included in or omitted from the Checklist.

Section 6

User Documents and your warranties on upload

You represent and warrant, in respect of each User Document uploaded or auto-fetched into the Service, that:

  • you have all necessary right, title, authorisation, instruction, and lawful basis under the Advocates Act 1961, the DPDP Act, the IT Act, and all other applicable laws to upload, transmit, and process the User Document through the Service;
  • where the User Document contains the Personal Data of any individual other than yourself, you have obtained, or have another lawful basis under the DPDP Act, all consents and authorisations required to permit us to process such Personal Data as a data processor in accordance with the Privacy Policy and Section 14 below;
  • the User Document is, to the best of your knowledge, genuine and is not forged, fabricated, or altered;
  • the upload and processing does not infringe any third-party intellectual property right, contractual obligation of confidentiality, or other right; and
  • the User Document does not contain any virus, malware, or other malicious code.

Ownership of User Documents

As between you and us, you retain all right, title, and interest in your User Documents and the Reports generated for them.

Licence to BhoomiScan

You grant us a non-exclusive, royalty-free, worldwide licence to host, store, copy, transmit, process, analyse, and otherwise use the User Documents and the Reports for the limited purposes of (i) providing the Service to you, (ii) maintaining and improving the security, performance, and reliability of the Service, and (iii) where the User Documents have been irreversibly de-identified such that no individual is reasonably identifiable, training and improving our models. We do not sell User Documents to any third party.

Section 7

Our intellectual property and your licence

All right, title, and interest in and to the Service — including the website, the dashboard, models, algorithms, prompts, code, design, the BhoomiScan name and logo, and all related intellectual property — are and remain our exclusive property.

Limited licence to you

Subject to your continued compliance with these Terms and payment of applicable Fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal professional or personal use during the term of your account.

Restrictions

  • no reverse engineering, decompilation, or attempting to derive the source code, models, or training data;
  • no circumvention of any technical or security control;
  • no scraping, harvesting, or systematic extraction beyond what the user interface expressly permits;
  • no use of the Service to build, train, or improve any product or service that competes with BhoomiScan;
  • no sublicensing, leasing, selling, or otherwise transferring access to a third party; and
  • no removal or obscuring of any proprietary notice in the Service or any Report.

Feedback

If you voluntarily provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use such feedback for any purpose, without obligation of attribution or compensation.

Section 8

Subscription plans, Fees, and taxes

Credits pricing

The Service is paid for in credits. Credits are purchased once and spent per generation: one (1) AI Title Report costs nine hundred and ninety-nine (999) credits, debited when a Report is generated for an Order. Starter credits are one thousand (1,000) credits for Rs.999, exclusive of applicable taxes (a rate of approximately Re.1.00 per credit).

Practice credits (Credit Pack)

Practice credits are ten thousand (10,000) credits for Rs.8,999, exclusive of applicable taxes, sold as a one-off purchase (an effective rate of approximately Re.0.90 per credit — approximately 10% off the Starter rate, and sufficient for ten (10) AI Title Reports). Credits so purchased:

  • do not expire and remain available on the account on which they were purchased until spent;
  • are strictly non-transferable and may be used only on the account on which they were purchased; and
  • are non-refundable in whole or in part. The Fee paid for credits is fully and finally earned upon purchase. See Section 9 for full refund position.

Banking & Enterprise — custom pricing

Title Verification for banks, non-banking financial companies, and high-volume practices is offered on a custom, negotiated basis. Per-report pricing, volume commitments, billing terms, onboarding, and service levels are agreed in writing on a case-by-case basis. There is no self-serve checkout for this arrangement; pricing is provided on request by writing to contactbhoomiscan@gmail.com.

Encumbrance Certificate on request

Where you ask us to obtain an Encumbrance Certificate (EC) from the Inspector General of Registration, Odisha (IGR) on your behalf, we charge a service fee of Rs.199 per certificate. That Rs.199 is the total we charge for the service and is inclusive of any applicable GST, as the one exception to the 'Taxes' paragraph below. The fee IGR charges for the certificate is collected from you at cost and shown separately; it is IGR's fee, not ours. The request is made on WhatsApp with a photo of the Record of Rights, the village and plot or khata number, and the number of years to be searched; we reply with the total and a payment link, and the certificate is delivered within one (1) to seven (7) days after payment. Section 9 sets out what is refunded.

Taxes

All Fees are exclusive of Goods and Services Tax (GST) and other applicable taxes, levies, and duties, which will be charged in addition where applicable. We will issue tax invoices in accordance with applicable law.

Price revision

We may revise Fees from time to time on prospective notice. Any revision applies only to purchases made after the revised pricing is displayed. Existing credits in a Credit Pack already purchased will not be re-priced.

Payment processor

Payments are processed through Razorpay or such other payment processor as we engage from time to time. We do not store full payment instrument details on our servers. The payment processor's own privacy and terms govern its handling of your payment information.

Failed payments

If a payment fails for any reason, we may suspend access to paid features until payment is successfully completed. You are responsible for ensuring that the payment instrument you use has sufficient funds and authorisation.

Section 9

Refunds and cancellation

Guiding principle
Each Title Verification Report involves significant computational cost on third-party large-language-model and infrastructure providers. Once a purchase has been completed — whether of a single Report or a Credit Pack — the Fee is fully and finally earned by BhoomiScan. From that moment onwards, no refund will be made of any portion of the Fee, save only in the two narrow circumstances expressly set out below.

Credits purchase

Once you have paid the Fee for credits, the Fee is fully and finally earned and no refund will be made under any circumstances, save where the Service has materially failed to produce any Report at all due to a technical fault attributable to BhoomiScan (and not due to error, omission, or non-conforming input on your part, the Bhulekh portal, or any other third party). In such a case, request a refund within seven (7) calendar days of the failed transaction by writing to contactbhoomiscan@gmail.com with the transaction reference. On verification, we will process the refund through Razorpay within ten (10) business days.

Encumbrance Certificate on request

If we cannot deliver the Encumbrance Certificate, the Rs.199 service fee is refunded in full. The fee paid to IGR is refunded only if and to the extent IGR refunds it, since it is a government fee. A certificate showing no encumbrance ('nil encumbrance') is a delivered certificate and is not refundable. Where the land details you supplied were wrong or incomplete, the search made on those details is a delivered service, and a fresh search is a fresh request.

Credit Pack — non-refundable

You expressly acknowledge that the Fee paid for a Credit Pack is fully and finally earned upon completion of the purchase. From the moment of purchase onwards, no refund of any portion of the Credit Pack will be made under any circumstances, whether of used credits or unused credits. Your sole remedy in respect of unused credits is to use them on the platform within the term of your account.

For the avoidance of doubt, no refund will be made on account of dissatisfaction with the Service, dissatisfaction with the contents or accuracy of any Report, change of mind, business closure of the User, departure from practice, suspension or disbarment, death or incapacity, change in your circumstances, or for any other reason whatsoever, save only the limited service-discontinuation goodwill arrangement described below.

No cancellation or cooling-off right

There is no cancellation right, no cooling-off period, and no right to a refund of any kind in respect of a Credit Pack once the purchase has been completed, irrespective of whether any credit has been used. Please consider the suitability of any purchase carefully before completing it. The Service makes available a single Title Verification Report at the per-Report Fee so that you may evaluate the Service before committing to a Credit Pack.

Service discontinuation goodwill

Where we elect to discontinue the Service in whole on at least thirty (30) days' prior notice, we will, on a goodwill basis and as a complete and final settlement of any claim by affected Users in respect of unused credits, offer either (a) a pro-rated refund of the Fee paid for the Credit Pack in proportion to the unused credits, or (b) credit toward any successor service that we or our successor-in-interest may then offer, at your election.

Chargebacks

If you wish to dispute a charge, please first contact us at contactbhoomiscan@gmail.com and allow us at least ten (10) business days to investigate before initiating a chargeback. Where a User initiates a chargeback in breach of this notice requirement, we may suspend or terminate the account, refuse future business, and recover chargeback fees and administrative costs.

Consumer rights

Nothing in this section is intended to exclude, restrict, or modify any right or remedy available under the Consumer Protection Act, 2019, the Indian Contract Act, 1872, or any other applicable law that cannot be excluded by contract.

Section 10

Intermediary obligations and unlawful content

The Service is an intermediary within the meaning of the Information Technology Act, 2000 and complies with the due diligence obligations under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. You undertake not to upload, transmit, host, display, or share through the Service any content that is unlawful under those Rules, including content that is obscene, defamatory, infringes intellectual property, threatens the unity, integrity, sovereignty, or security of India, or otherwise contravenes any law for the time being in force.

On receiving actual knowledge through a court order or notification by the appropriate Government or its agency that any User-uploaded content is unlawful, we will take down such content as expeditiously as possible and in any event within thirty-six (36) hours, in accordance with the IT Rules, 2021.

Section 11

Acceptable use

Authorised users

The Service is intended for advocates enrolled on the rolls of a State Bar Council under the Advocates Act, 1961, for their authorised paralegal staff acting under their supervision, and for such other categories of professional Users (including banking and enterprise customers) as we may approve in writing. Each natural person using the Service must register a personal account in their own name and must not share account credentials.

Rules on document upload

  • Do not upload, transmit, or auto-fetch any User Document unless you have the legal right and lawful basis to do so.
  • Do not upload User Documents that are forged, fabricated, materially altered, or that you know or have reason to believe to be inauthentic. Do not use the Service to procure, support, or perpetrate any fraudulent transaction.
  • Do not deliberately introduce Sensitive Personal Data of any individual that does not naturally appear in the User Document being analysed (for example, financial passwords, medical records, or biometric identifiers unrelated to the property record).
  • Do not attempt to upload categories of documents for which the Service has not been validated. The Service accepts the EC (Form 25), Record of Rights, and Sale Deed Certified Copies.

Rules on use of Reports

  • Reports are working aids prepared by an automated system. Do not present any Report as a legal opinion, as advice rendered by an advocate, as a certificate of title, or as a representation by us that any property is free from defect.
  • Independently verify every material extracted field — plot numbers, khata numbers, owner and party names, areas, dates, consideration amounts — against the underlying source document and against such other authoritative sources as you consider necessary.
  • Do not represent or imply to clients, banks, registering authorities, courts, or any third party that BhoomiScan has provided legal services, certified title, audited a transaction, or otherwise assumed legal responsibility for the property described in any Report.
  • Do not represent to any bank or financial institution that a Report alone is sufficient for the disbursement of any loan or the certification of title for banking purposes.
  • Do not file, annex, exhibit, or cite a Report in any judicial or quasi-judicial proceeding as if it were your own legal opinion or expert evidence. The Report may be referenced as a working aid only with appropriate disclosure of its automated nature.

Prohibited conduct

  • no reverse engineering, decompilation, or attempting to derive source code, models, prompts, or training data;
  • no circumvention of technical, security, or access-control features;
  • no robots, spiders, scrapers, or automated bulk upload not contemplated by the user interface;
  • no use of the Service to develop, train, evaluate, or improve any competing product;
  • no sublicensing, leasing, reselling, or commercially exploiting the Service or any part of it;
  • no use in connection with money-laundering, sanctions evasion, identity fraud, or property fraud;
  • no impersonation or misrepresentation of affiliation with any State Bar Council, court, or government authority;
  • no attempt to gain unauthorised access to any account, system, or data not belonging to you;
  • no introduction of any virus, worm, malware, or other malicious code; and
  • no removal, obscuring, or alteration of any proprietary notice, trademark, or copyright legend in the Service or any Report.

Confidentiality and DPDP duties

Advocate Users acknowledge their independent duty to maintain client confidentiality under the Advocates Act, 1961, the Bar Council of India Rules, and the DPDP Act. You will ensure that the upload of any User Document containing the Personal Data of a client or third party is supported by a lawful basis under the DPDP Act and is consistent with your obligations to the client. You will promptly notify us of any actual or suspected breach of confidentiality or Personal Data security that may relate to the Service.

Enforcement

Where we reasonably believe a violation has occurred, we may issue a warning, restrict, suspend, or terminate the account, remove or disable access to specific User Documents or Reports, report the matter to a competent authority, and commence legal proceedings to recover losses or obtain injunctive relief. Termination for breach does not entitle you to any refund.

Section 12

Confidentiality

Each party may disclose to the other certain non-public information that is identified as confidential or that ought reasonably to be understood as confidential given the nature of the information and the circumstances of disclosure. Your User Documents and Reports are deemed your Confidential Information.

Each party shall: (a) hold the other party's Confidential Information in confidence with at least the same degree of care that it uses to protect its own confidential information of similar importance, and in any event no less than reasonable care; (b) use the other party's Confidential Information only for the purpose of performing under these Terms; and (c) not disclose the other party's Confidential Information to any third party except to its employees, contractors, and professional advisors who are bound by obligations of confidentiality at least as protective as those in this Section.

These obligations do not apply to information that (a) is or becomes public through no fault of the receiving party, (b) was rightfully in the receiving party's possession without obligation of confidentiality before disclosure, (c) is independently developed without use of or reference to the disclosing party's Confidential Information, or (d) is required to be disclosed by law or by order of a court of competent jurisdiction or a regulatory authority, in which case the receiving party shall, where lawfully permitted, give reasonable advance notice.

Section 13

Professional responsibility of the advocate

The Service is a tool

The Service is a software tool that produces structured analytical output. It is not a substitute for, and shall not be relied upon as, the independent professional judgment of an advocate enrolled under the Advocates Act, 1961.

Advocate retains full responsibility

Where you are an Advocate User, you retain and shall continue to discharge all professional duties owed to your clients, including duties of competence, diligence, confidentiality, conflict avoidance, and independent professional judgment under the Advocates Act, 1961, the Bar Council of India Rules, and any rules of the State Bar Council on whose rolls you are enrolled.

Independent verification of every material fact

Before relying on any output of the Service in any document, advice, opinion, certificate, or representation given to your client or to any third party (including any bank, financial institution, or registering authority), you shall independently verify every material fact extracted by the Service — including names of parties, plot and khata numbers, area, consideration amounts, dates, the sequence of transactions, and the state of encumbrances. Treat the Service's output as a working aid prepared by an automated system, not as verified information.

No holding out

You shall not represent to any client or third party that BhoomiScan has rendered legal services, has provided a legal opinion, or has certified title in any property. You shall not present any output of the Service as your own legal opinion without independent professional review and adoption.

Bar Council compliance

You are solely responsible for ensuring that your use of the Service is consistent with the Bar Council of India Rules and any State Bar Council rules, including those concerning advertising, fees, confidentiality, and the dignity of the profession. We make no representation that any particular use of the Service complies with such rules.

Section 14

Data Processing Addendum (Advocate User documents)

Why this section is here
When you upload a User Document containing the Personal Data of a third party (a buyer, seller, witness, mortgagee, etc.), the law treats you — the advocate — as the Data Fiduciary, and treats us as a Data Processor acting on your instructions. This section sets out that processor relationship.

Roles

You are the Data Fiduciary in respect of the Personal Data of third parties contained in User Documents you upload or auto-fetch. We are the Data Processor in respect of such Personal Data, processing only on your documented instructions, which are constituted by these Terms, this Section 14, the Privacy Policy, and any further written instructions you reasonably give from time to time. For your own account-level Personal Data, we act as a Data Fiduciary; the Privacy Policy applies.

Subject-matter, nature, and duration

The subject-matter is Personal Data of natural persons named in property documents originating in Odisha. The nature of the processing is structured analysis using LLMs, OCR, retrieval, and rule-based logic, to produce a Report. The purpose is to provide the Service to you. The duration is the duration of your account, plus a default retention of ninety (90) days after account closure for retrieval, after which Personal Data within User Documents is deleted, unless retention is required by law.

Your warranties as Data Fiduciary

You warrant that you have all necessary right, lawful basis, and authorisation under the DPDP Act, the Advocates Act, the Bar Council of India Rules, and all other applicable laws to upload, transmit, and instruct the processing of each User Document and the Personal Data within it. You further warrant that you have discharged, or are responsible for discharging, all notice, consent, transparency, and other obligations owed by a Data Fiduciary to the Data Principals concerned.

Our obligations as Data Processor

  • process Personal Data within User Documents only on your documented instructions, save where required to do otherwise by applicable law;
  • not sell, rent, or commercially exploit any such Personal Data;
  • implement and maintain appropriate technical and organisational measures consistent with Section 8(5) of the DPDP Act — encryption in transit and at rest, role-based access controls, signed-URL access to file storage, audit logging, secure development practices, vulnerability management, and incident response;
  • ensure personnel authorised to process such Personal Data are bound by confidentiality undertakings; and
  • assist you, taking into account the nature of the processing and the information available to us, in fulfilling your obligation to respond to Data Principal requests under the DPDP Act.

Sub-processors

You authorise us to engage Sub-Processors. As at the effective date these include Supabase (hosting, database, file storage), Vercel (frontend hosting), Anthropic and OpenAI (LLM and embedding services), Razorpay (payment processing), PostHog (product analytics), and Sentry (error tracking). The current list is published with the Privacy Policy. We will notify Advocate Users of intended additions or replacements at least fifteen (15) days before they take effect; you may object on reasonable data-protection grounds within fifteen (15) days. If we cannot agree, you may terminate the affected Service in respect of matters that cannot be performed without the proposed Sub-Processor; Section 9 governs remaining unused credits.

Cross-border transfer

Personal Data may be transferred outside India where necessary for the performance of the Service (in particular for inference calls to LLM providers and for use of US-based Sub-Processors). Any such transfer is undertaken in accordance with Section 16 of the DPDP Act and any restrictions or notifications issued by the Central Government of India. If the Government restricts transfer to a country in which a Sub-Processor is located, we will act in accordance with that restriction, including by relocating the relevant processing, replacing the Sub-Processor, or, where neither is reasonably possible, suspending the affected processing.

Personal Data breach

We will notify you without undue delay after becoming aware of a Personal Data breach affecting Personal Data within User Documents we process on your behalf, and will provide such information as is reasonably available so that you can fulfil your own notification obligations to the Data Protection Board of India and to affected Data Principals.

Audits

On your reasonable written request, and not more than once in any twelve (12) month period save where a Personal Data breach has occurred or where required by a regulatory authority, we will make available information necessary to demonstrate compliance with this Section 14. The audit right will ordinarily be exercised by review of documentation rather than by on-site audit; on-site audit, where required, will be on reasonable scope, timing, and confidentiality undertakings.

Return and deletion

On termination of your account, we will, at your election communicated within thirty (30) days, return or delete the Personal Data within User Documents we process on your behalf, save to the extent we are required by law to retain a copy. Backup copies are deleted in the ordinary course of backup rotation, typically within ninety (90) days, and remain encrypted and access-controlled until deletion.

Section 15

Suspension and termination

Termination by you

You may terminate your account at any time by following the cancellation flow on the dashboard or by writing to contactbhoomiscan@gmail.com. Termination by you does not entitle you to any refund of Fees already paid, except as expressly provided in Section 9.

Termination by BhoomiScan

We may suspend or terminate your account, with or without notice, where (a) you materially breach these Terms or any law, (b) your continued use exposes us to legal, regulatory, or reputational risk, (c) we are required to do so by law or by a court or regulatory authority, or (d) we elect to discontinue the Service in whole or in part on at least thirty (30) days' prior notice.

Effect of termination

  • your right to access and use the Service ceases immediately;
  • any unused Credit Pack credits are forfeited and no refund is payable for them, save the goodwill arrangement for service-discontinuation in Section 9;
  • we may, after a reasonable period, delete your User Documents and Reports in accordance with the Privacy Policy; and
  • Sections 6.3 (licence to BhoomiScan), 7 (IP), 12 (confidentiality), 13 (advocate duties), 14 (DPA), 16 (indemnification), 17 (liability), 18 (force majeure), 22 (governing law), and 23 (general) shall survive termination.
Section 16

Indemnification by the User

You shall indemnify, defend, and hold harmless BhoomiScan, its proprietor, employees, contractors, and successors-in-interest from and against any claims, demands, suits, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable advocates' fees) arising out of or in connection with:

  • your breach of these Terms or the Privacy Policy;
  • any User Document uploaded or auto-fetched in violation of Section 6;
  • any third-party claim that you did not have the right or lawful basis to upload, process, or share through the Service the Personal Data of any individual contained in any User Document;
  • any reliance by you, your clients, or any third party on the output of the Service in violation of Sections 5 and 13;
  • any complaint, disciplinary proceeding, or claim by a client of yours or by any State Bar Council, Bar Council of India, court, or regulatory authority arising out of your professional conduct, advice, opinion, certificate, or representation, including any matter in which you used or referenced the Service; and
  • any breach by you of any third-party right, including any intellectual property right, contractual obligation, or right of confidentiality.
Section 17

Disclaimers and limitation of liability

As-is Service

Except as expressly stated in these Terms, the Service is provided on an as-is and as-available basis. To the maximum extent permitted by law, we disclaim all warranties and conditions, express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and uninterrupted availability.

Excluded damages

To the maximum extent permitted by law, BhoomiScan shall not be liable to you or to any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity, data, clients, reputation, or professional indemnity exposure, arising out of or in connection with the Service or these Terms, even if we have been advised of the possibility of such damages.

Aggregate cap

Without limiting the above, our aggregate liability for any and all claims arising out of or in connection with the Service or these Terms, whether in contract, tort (including negligence), under statute, or otherwise, shall not in any event exceed the lower of (a) the total Fees actually paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim and (b) Rs.10,000.

Allocation of risk

You acknowledge that these limits reflect a fair allocation of risk given the inherently probabilistic nature of the Service, the modest Fees charged, your continuing professional responsibility under Section 13, and your obligation to independently verify all material facts. We would not have entered into these Terms without these limitations.

Carve-outs

Nothing in this Section limits any liability that cannot be excluded or limited by applicable law.

Section 18

Force majeure

We shall not be liable for any delay or failure to perform under these Terms to the extent caused by an event beyond our reasonable control, including acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil unrest, industrial action, failure of telecommunications or internet service providers, failure or unavailability of any third-party portal or service (including Bhulekh, IGR Odisha, Supabase, Anthropic, OpenAI, or Razorpay), governmental action, or change in law or regulation.

Section 19

Third-party services and portals

Public portals

The Service may, on your instruction, fetch documents from public portals such as Bhulekh Odisha. We do not control these portals, do not guarantee their availability or accuracy, and are not responsible for any change, downtime, or error of any portal.

Third-party processors

The Service is hosted and powered by third-party providers — including Supabase (hosting, storage), Vercel (frontend hosting), Anthropic and OpenAI (LLM and embedding services), Razorpay (payment processing), PostHog (product analytics), and Sentry (error tracking). We engage these vendors under appropriate contractual safeguards, but we are not the operator of those services and are not liable for their failure beyond what is expressly assumed in these Terms or in the Privacy Policy.

Section 20

Notices

Notices to BhoomiScan should be sent by email to contactbhoomiscan@gmail.com and are deemed received on the next business day after sending, provided no failed-delivery notification is received. Notices to you will be sent to the email address registered on your account or posted prominently on the dashboard, and are deemed received twenty-four (24) hours after sending or posting.

Section 21

Changes to these Terms

We may amend these Terms from time to time by posting the amended Terms on the website. Material amendments will be notified by email to registered Users at least fifteen (15) days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not accept an amendment, you must stop using the Service and may terminate the account; Section 9 governs any unused credits and no refund is payable in respect of them.

Section 22

Governing law and dispute resolution

Governing law

These Terms are governed by the laws of the Republic of India, without regard to conflict-of-laws principles.

Jurisdiction

Subject to the arbitration clause below, the courts at Bhubaneswar, Odisha shall have exclusive jurisdiction to entertain any dispute arising out of or in connection with these Terms.

Arbitration

Any dispute, controversy, or claim arising out of or in connection with these Terms — including any question regarding existence, validity, breach, or termination — that is not resolved through good-faith negotiation within thirty (30) days of one party giving written notice to the other, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator. The arbitrator shall be appointed by mutual agreement of the parties; failing agreement, the arbitrator shall be appointed in accordance with the Act. The seat and venue of arbitration is Bhubaneswar, Odisha. The language is English. The award is final and binding. Nothing in this clause precludes either party from seeking interim or injunctive relief from a court of competent jurisdiction at Bhubaneswar.

Section 23

General

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms, in whole or in part, including upon the incorporation of BhoomiScan as a private limited company or upon any reorganisation, merger, or sale of business, on notice to you.

No partnership

Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between the parties.

Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

Waiver

No waiver of any provision shall be effective unless in writing and signed by the waiving party. A failure or delay by either party to enforce any provision shall not constitute a waiver of that provision or any other provision.

Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between the parties in respect of the Service and supersede all prior or contemporaneous agreements, communications, and understandings, written or oral.

Language

These Terms are executed in English. Any translation provided is for convenience only, and the English text shall prevail in case of any conflict.
